Avivagen Creating New Technology

Canadian life sciences company, Avivagen, claims to be developing two disruptive technologies. The first is a natural product designed to replace antibiotic use in livestock feeds and the second is a medication-based non-surgical sterilization process for female animals.

Avivagen is currently using its antibiotic replacement (OxC-beta) in two pet supplements (Vivamune and Oximunol) and is looking to expand its use in livestock destined for consumption.

Avivagen Appoints Two New Board of Directors

On May 14th Avivagen announced the appointment of two new board of directors; David Allan and Vanessa Grant. Two previous directors have resigned, Dr. Janusz Daroszewski and Dr. Chandra Panchal. The appointments of Allan and Grant remain subject to TSX Venture Exchange approvals.

Allan was the Chairman and CEO of YM BioSciences Inc. from 1998 to 2010. He was the founding Chairman of AvidBiologics, the Executive Chairman of Stem Cell Therapeutics Corp., and the Lead Director of DiaMedica Inc. Allan has also been a CEO or senior executive of three Canadian investment dealers and a Governor of the Toronto Stock Exchange. Regarding his appointment, Allen said, “I’ve long been interested in Avivagen’s important positioning, have a meaningful shareholding and am pleased to be appointed to its Board of Directors. I believe Avivagen’s OxC-beta technology provides multiple business prospects that I may help it realize.”
   
Grant is experienced in corporate governance, capital markets, life sciences, and agriculture. She is a business law partner in Gowling Lafleur Henderson LLP. Grant has advised life sciences companies and is the Co-Director of York University’s Osgoode Hall Law School; she teaches corporate finance. Grant is “Very pleased to be appointed to Avivagen’s Board of Directors and look forward to using my skills to help ensure the success of the Company. I believe Avivagen has exciting opportunities with its products and intend to work hard to assist with realizing that potential.”

Avivagen Converting Liability to Equity and the Grant of Options

The life sciences company, Avivagen is converting liability to equity and a grant of options. A total of $20,999.95 CDN in debt will be converted to common shares. The 291,666 common shares will be priced at $0.072 CDN each. The liability is due to board fees owed to Mr. Amin Khalifa.

1,200,000 options were granted to board members as part of a remuneration package. The options were priced at $0.09 CDN per share. 

The conversion of debt to shares and option grants are both subject to approval of the TSX Venture Exchange.

Avivagen Provides Update Regarding Proof of Concept Work On Permanent Non-Surgical Sterilization

Avivagen, a wellness company developing and delivering products that support and enhance the health and quality of life for animals and the people who care for them, has provided an update on the proof of concept work with its optioned technology for the permanent sterilization of female mammals - targeted to eliminate the need for surgical spaying.

This technology is intended to be effective for companion animal sterilization, control of feral and wild animal populations and certain livestock applications. It is drug-based and does not used methods described in published literature. 

The proof of concept work did not demonstrate the intended sterilization effects. Avivagen and the inventor have analyzed the results and believe they may be due to issues with the drug actives, such as pharmacokinetic challenges. Avivagen has taken two actions to address this challenge to the project. 

"While we'd hoped to succeed in this recent proof-of-concept work, we continue to believe in this approach and will move forward with determining the path to a successful trial," said Cameron Groome, CEO and President of Avivagen.

Exploring the Non-Surgical Sterilization conversation

Canadian wellness company Avivagen announced earlier this month it has entered into a one-year option to purchase an exclusive license for a permanent non-surgical pet sterilization technology from Dr. Duncan Hockley, director of the Veterinary Medical Centre of the University of Saskatchewan.

The invention is a novel and drug-based means of accomplishing this longstanding veterinary goal and could prove effective for urban animal sterilization and control of feral and wild animal populations.
